SamadRock Ltd is incorporated and registered in England and Wales, and is subject to UK company law and HMRC reporting obligations. It does not carry out regulated activities and is not authorised or regulated by the Financial Conduct Authority. This provides our international partners with a familiar legal framework for engagement.

Beyond legal compliance, SamadRock has adopted voluntary standards of governance transparency, including public disclosure of our AML policy, terms of business and privacy framework, as an expression of our commitment to operating with integrity.

Our Egypt operations are being prepared to operate under Egyptian law, applicable GAFI requirements and relevant sector-specific regulatory frameworks, with the same ethical standards applied consistently regardless of jurisdiction.

Five commitments that
define how we operate.

Ethics & Anti-Corruption

SamadRock maintains a zero-tolerance policy on bribery and corruption. All employees, agents and contractors are required to comply with the UK Bribery Act 2010 and equivalent Egyptian legislation. We do not pay facilitation payments. We do not engage intermediaries operating outside our ethical standards.

Risk Management

We apply a structured risk management framework across all projects and operations, covering political, regulatory, commercial, operational, environmental and reputational risk. Risk is assessed at project inception, monitored throughout execution and reported through defined escalation channels.

Conflicts of Interest

SamadRock operates a formal conflicts of interest policy. All material conflicts, actual or potential, are declared, assessed and managed. We disclose relevant interests to partners and counterparties where material to the transaction or engagement. Independence of judgement is protected by policy, not just expectation.

Transparency

We publish our AML policy, terms of business and privacy notice publicly. We commit to clear and timely communication with partners and counterparties. We do not engage in misleading representations, selective disclosure or information asymmetry designed to disadvantage counterparties.

Supply Chain Conduct

Our governance standards extend to our supply chain. Suppliers and contractors are required to meet minimum standards on ethics, labour practices and environmental conduct. We conduct proportionate due diligence on significant supply chain relationships and apply the UK Modern Slavery Act requirements to our operations.
